1. Introduction

AverCut — a presentation website and an online studio for creating vertical videos with artificial intelligence (the "service") — is operated by AdvisorOS s.r.o., company ID (IČO) 295 03 311, registered office Kotojedy 56, 767 01 Kroměříž, Czech Republic, registered in the Commercial Register kept by the Regional Court in Brno, section C, insert 151654 (the "operator", "we", "us").

The contract for using the service is formed when you complete the registration and accept these terms. If you use the service on behalf of a company or another organisation, you confirm that you are authorised to represent it; the terms then bind that organisation as well.

The terms are available in Czech and English. In case of a conflict the Czech version prevails.

2. Definitions

  • Studio — the web application for uploading, editing and exporting videos.
  • Workspace — your space in the studio with projects, library, brand kit and AI agent; you can invite other members to it.
  • User content — everything you upload to or enter into the service: videos, audio, scripts, logo, fonts, B-roll, music, reference videos, texts and links.
  • Output — results created by the service: edit proposals, captions, graphics, finished videos, descriptions and other AI suggestions.
  • Consumer — a natural person who uses the service outside their trade, business or profession.

3. Beta

  • The service is in beta. Access is free and by invitation only; invitations are sent in waitlist order and according to capacity.
  • Features, limits and appearance may change; some features may be temporarily unavailable or discontinued. We do not guarantee uninterrupted availability or that the service is error-free.
  • We may end the beta or convert it into a paid version. We will tell you at least 14 days in advance so that you can download your videos and data.
  • Download your finished videos regularly — the service is not meant for long-term archiving.
  • We may use feedback you send us to improve the service, without any obligation to compensate you.

4. Your account

  • You need an account to use the studio. Provide accurate details and verify your e-mail address.
  • The service may be used by persons with full legal capacity who are at least 18 years old, and by persons authorised to act for a legal entity.
  • Keep your credentials safe and do not share them. We recommend enabling two-factor authentication. Report any suspected misuse of your account without undue delay to support@avercut.com.
  • One person may have one account; creating additional accounts to get around limits is not allowed.
  • You are responsible to us for the actions of members you invite to your workspace as if they were your own.

5. Your content and rights to it

  • Rights to the content you upload stay with you or their owners.
  • You grant us a non-exclusive, royalty-free right to store, process, analyse (including with AI), modify and display the content to you and the members of your workspace — solely to the extent needed to provide the service and for as long as the content is stored in the service. We do not publish your content and do not use it for promotion or for training AI models without your consent.
  • You confirm that you hold all rights and consents needed for the content — in particular for the recordings, the likeness and voice of people in the video, music, logos, fonts and third-party footage.
  • Reference videos for style analysis may be uploaded only if they are yours, you have the author's consent, or the law permits it. The analysis only derives a general style (pace, cuts, caption type, graphics); output must not reproduce protected elements of other people's works.
  • You are responsible for the content and its compliance with the law.

6. Acceptable use

You must not use the service for:

  • content that is unlawful or infringes intellectual property, personality rights or data protection;
  • deceptive videos that impersonate someone or attribute statements to them without consent (deepfakes), or spreading disinformation;
  • content inciting hatred, violence or harassment; any child sexual abuse material; intimate content without the consent of the people shown;
  • spam, fraud or distributing malicious code;
  • circumventing limits, technical protections or security, automated bulk access, load testing or reverse engineering;
  • reselling the service or making it available to third parties other than members of your workspace without our consent.

In case of a breach we may remove content, stop processing or suspend the account (section 11). We may report unlawful content to the authorities.

7. AI output

  • Output is generated automatically by artificial intelligence and may contain errors — for example misheard words in captions, unsuitable cuts, inaccurate descriptions or graphics that do not fit the video.
  • Always review the output before publishing it. You are responsible for publishing and for compliance with the rules of social networks, advertising rules and the law — including labelling AI-generated or AI-edited content where the rules require it.
  • Output may be similar to the output of other users; we do not guarantee its uniqueness.
  • Rights to output: you may use the output created from your content for any purpose, including commercially. To the extent we acquire any rights in the output, we grant you a royalty-free, perpetual, worldwide, non-exclusive licence to it, including the right to modify and distribute it. Rights to your content contained in the output stay with you.
  • You may use the Signature motion preset and our other templates, graphics and animations in your output without restriction; the templates themselves (their source form) must not be copied, extracted or distributed outside the service.

8. Limits and fair use

  • The scope of the service is defined by the plan limits shown in the studio (e.g. videos per month, length of the source recording, file size, storage and the monthly AI budget).
  • We may adjust the limits during the beta. Under high load or to protect against excessive costs we may delay or pause processing; you can see your position in the queue in the studio.

9. Privacy

How we process personal data is described in the Privacy policy; what is stored in your browser on the Cookies page. If you use the service for your business and upload videos with other people, you are the controller of their personal data and we are your processor; a data processing agreement is available on request.

10. Liability

  • The service is provided "as is". During the beta it is provided free of charge and without any availability guarantee.
  • To the extent permitted by law, we are not liable for damage caused by unavailability of the service, loss of data, errors in AI output, publication of output or lost profit. The operator's total liability for damage towards one user is limited to the sum of the payments the user made to us for the service in the 12 months preceding the event giving rise to the damage.
  • We do not exclude or limit liability for damage caused intentionally or by gross negligence, for harm to life, health or the natural rights of a person, or in any other case where the law does not allow it.
  • If you are a consumer, nothing in these terms limits your rights under the Czech Civil Code and the Consumer Protection Act, including your rights regarding defects in digital content and digital services.
  • You are liable for damage you cause by breaching these terms (e.g. by uploading content you have no rights to) and you will reimburse the costs we incur as a result.

11. Suspension and termination

  • You can delete your account at any time in the studio settings (Privacy and data). After deletion we erase your data as described in the privacy policy; download your finished videos first.
  • We may suspend or terminate your account or processing in case of a breach of these terms, misuse of the service, for security reasons, because of a legal obligation, or when the beta ends (with the notice under section 3). We will tell you the reason unless the law or security prevents it.
  • We may delete an account that has not been signed into for more than 24 months after notifying you by e-mail 30 days in advance.

12. Paid plans

No paid plans are offered during the beta. Once they launch, the following rules apply; we will point them out to you again together with the current price list before you order.

  • Subscription: paid plans are monthly or yearly subscriptions according to the price list in the studio. Prices include VAT unless expressly stated otherwise.
  • Payments: payments are processed by Stripe Payments Europe, Ltd. We never see your card number. The subscription renews automatically at the end of each period until you cancel it.
  • Cancellation: you can cancel the subscription at any time in the studio (Subscription). The plan stays active until the end of the paid period; afterwards the account returns to the free limits, if we offer them. We do not refund the remaining part of a paid period unless the law requires it.
  • Failed payment: if a renewal fails, we retry the payment and notify you by e-mail. If the payment is not made within 14 days, we end the paid plan.
  • Price changes: we announce price changes at least 30 days in advance; they apply from the next renewal. If you disagree, you can cancel the subscription before then.
  • Invoices: tax documents are sent electronically to the account e-mail and are available in the studio.

13. Information for consumers

  • Withdrawal: you may withdraw from a paid-plan contract within 14 days of concluding it without giving a reason, by e-mail to support@avercut.com (state the account e-mail and that you withdraw). If you expressly asked us to start providing the service during this period, you will pay a proportional part of the price for the time until withdrawal; we refund the rest within 14 days using the same payment method you used.
  • Defects and complaints: we provide the digital service as agreed for the whole duration of the contract. Report defects to the e-mail above; we handle complaints without undue delay and within 30 days at the latest.
  • Updates: we update the service continuously; updates needed to keep it functional are provided for the duration of the contract.
  • Out-of-court dispute resolution: see section 15. Nothing in these terms limits the rights the law gives you as a consumer.

14. Changes to these terms

We may change these terms, in particular when features or the law change or when the beta ends. We announce changes by e-mail or in the studio at least 14 days before they take effect. If you disagree with a change, you can delete your account (and cancel any subscription) before it takes effect; by continuing to use the service after that date you accept the change.

15. Governing law and disputes

  • These terms and the contract are governed by the law of the Czech Republic. Consumers keep the protection of the mandatory rules of the country where they live.
  • We try to resolve disputes amicably — write to support@avercut.com.
  • Consumers may use out-of-court consumer dispute resolution at the Czech Trade Inspection Authority (Česká obchodní inspekce), Central Inspectorate — ADR Department, Štěpánská 15, 120 00 Prague 2, e-mail adr@coi.cz, www.coi.cz, or the EU online dispute resolution platform at ec.europa.eu/consumers/odr. In cross-border disputes the European Consumer Centre Czech Republic (evropskyspotrebitel.cz) can help.
  • The courts of the Czech Republic have jurisdiction. In disputes with businesses, the court of the operator's registered office has local jurisdiction.
